acceptance of these Official Rules and the decision of Replicon ("Sponsor").
The Replicon TimeSheet Software Scholarship 2009 Contest ("Contest")
commences at 12:01 am Mountain Time on March 1, 2009 and ends at 5:00 pm Mountain
Time on August 1, 2009.
No
entries received after 5:00 pm Mountain Time on August 1, 2009 will be
considered, unless the closing date is extended as provided on the contest
webpage.

Program Overview
(1) Eligibility: The contest is offered to any
person of any nationality, older than 18 years of age as of the date of entry,
living in the United States
or Canada.
Entrants must be enrolled as a full-time student at a college/university within
the United States or Canada.
Employees, independent contractors, officers, and directors of Sponsor, its
affiliates, subsidiaries, advertising, promotion and fulfillment agencies, and
legal advisors, and the immediate family members and persons living in the same
household of such persons, are not eligible to
participate in the Contest. Void where prohibited by law.
(2) How to Enter: Entrants are asked to write on one or
more of the following topics: (i) To improve employee
productivity, OR (ii) To gain insights into time off (time off abuse, overuse),
OR (iii) Streamlining payroll, OR (iv) Better project
management, OR (v) Easier project costing, OR (vi) Efficient project billing, OR (vii) any innovative idea on timesheet software. Only
one essay may be submitted per entrant. Essays must not be more than 1,000
words in length. Replicon will not return essays or any collateral materials
that might be submitted by contestants. Entrants must submit the following
application materials along with the required essay by 5:00pm Mountain Time on August
1, 2009: (i) an official academic transcript which
must contain entrant's enrollment for the academic year in progress, and (ii)
entrant's e-mail address, home address and phone number. If in the opinion of
the judges no entry deserving of the prize is received by the aforesaid date, Sponsor
reserves the right to extend the contest for up to six (6) months. Entrant must
be the sole author of entry. Use of images and works in the public domain may
be incorporated into entries. However, materials which infringe on the rights
of any third party may not be used. Sponsor is not responsible for late, lost,
spam-filtered, stolen, delayed, damaged, misdirected, incomplete, illegible, or
unintelligible entries. Incomplete or illegible entries are not eligible and
are considered void. All submissions become property of Sponsor and may be
reused in whole or in part by Sponsor in its sole discretion.
(3) Prizes: One (1) scholarship winner will be
chosen to win a one-time award of $1000 USD towards tuition/educational
reimbursement. This reimbursement will be mailed directly to the college or
university and will be credited to the winner's tuition. The winner's name will
be posted on the Replicon.com site on or before September 15, 2009. All
federal, provincial, state and/or local taxes on prizes are solely the
responsibility of the winner. Odds of winning depend upon the number of entries
received. No alternative prize or other substitution is permitted except by
Sponsor in the event of prize unavailability. Prize is nontransferable.
(4) Winner: A panel of judges will evaluate all
eligible entries based on the following criteria: Scoring will be based on a
twenty (20) point scale: Five (5) point maximum for creative approach to
addressing the theme chosen, five (5) point maximum for applicability of idea
to a practical real-world business setting, five (5) point maximum for clarity
of message, and five (5) point maximum for demonstrable research, supporting
statements or quotes. In the event of a tie, the winner will be chosen based on
the objective opinion of the judges regarding which entry provides the most
sound business strategy to improving the entrant's topic of choice. All
decisions by the judges are final and binding. Sponsor reserves the right to
disqualify any entry which is, in the judging panel's discretion,
inappropriate, offensive, or demeaning to Sponsor's reputation or goodwill.
A
winner will be selected and notified by August 31, 2009. The name of the winner
will be posted on Replicon's
Scholarship Homepage on or before September 15, 2009. The winner will be
required to complete an affidavit or declaration of
eligibility/liability-publicity release which must be signed and returned so
that it is received within 10 days of the date printed on the prize
notification, or the next highest score entrant will be awarded the respective
prize. The winner must provide proof of identity. Failure to comply may result
in forfeiture of all rights to prize. Sponsor is not responsible for and shall
not be liable for late, lost, misdirected, or unsuccessful efforts to notify
winners. If a prize or prize notification letter or e-mail is returned as
undeliverable, prize may be forfeited and an alternate winner will be awarded.
Applying for Replicon's TimeSheet Software Scholarship 2009 constitutes
permission of Sponsor (except where prohibited by law) to use the winner's
name, essay content, hometown (including state) and/or likeness (except where
prohibited) for promotional, commercial, and publicity purposes without further
compensation.
(5) General Terms and Conditions: By
participating, entrants agree that Sponsor, its shareholders, agents and
representatives, affiliates, subsidiaries, advertising, promotion and
fulfillment agencies, and legal advisors are not responsible or liable for, and
shall be released from: (i) telephone, electronic,
hardware or software program, network, Internet, or computer malfunctions,
failures, or difficulties of any kind; (ii) any condition caused by events
beyond the control of Sponsor that may cause the Contest to be disrupted or
corrupted; (iii) any printing or typographical errors in any materials
associated with the Contest; (iv) any and all losses, damages, rights, claims
and actions of any kind in connection with or resulting from participation in
the Contest, acceptance, possession, or use of any prize, including without
limitation, personal injury, death, and property damage, and claims based on
publicity rights, defamation, or invasion of privacy. Sponsor reserves the
right, in its sole discretion, to suspend or cancel Contest at any time if a
computer virus, bug, or other technical problem corrupts the administration,
security, or proper conduct of the Contest. All issues and questions concerning
the construction, validity, interpretation and enforceability of these Official
Rules, or the rights and obligations of participant and Sponsor in connection
with the Contest, shall be governed by, and construed in accordance with the
laws of the Province of Alberta, without giving effect to any choice of law or
conflict of law rules or provisions (whether of the Province of Alberta or any
other jurisdiction), that would cause the application of the laws of any
jurisdiction other than the Province of Alberta.
